3 Content Usage Restrictions

• • Prohibition of unauthorized reproduction or distribution of course materials
• • Personal use only - no commercial exploitation of training content
• • Maintenance of confidentiality for proprietary training methodologies
• • Proper attribution when referencing DataPipe materials in external work
• • Compliance with third-party software licensing terms

4 Age and Capacity Requirements

• • Minimum age requirement of 18 years for course enrollment
• • Legal capacity to enter into binding agreements
• • Parental consent required for participants under 20 years in Japan
• • Corporate authorization for business-sponsored enrollments
• • Verification of identity when required by law or policy

5 Indemnification Obligations

You agree to indemnify, defend, and hold harmless DataPipe from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• • Your violation of these Terms and Conditions
• • Your misuse of our services or course materials
• • Your violation of any rights of another party
• • Your violation of any applicable laws or regulations
• • Any false or misleading information you provide to us

Disclaimer of Warranties

• • No guarantee of employment outcomes or salary improvements
• • No warranty that services will meet your specific requirements
• • No guarantee of uninterrupted or error-free service operation
• • No warranty of accuracy or completeness of training content
• • Disclaims all express and implied warranties including merchantability

Limitation of Liability

To the maximum extent permitted by law, DataPipe shall not be liable for any indirect, incidental, special, consequential, or punitive damages including:

• • Loss of profits, data, use, goodwill, or other intangible losses
• • Damages resulting from third-party conduct or content
• • Damages arising from service interruptions or technical failures
• • Career or employment-related losses or opportunities
• • Any damages exceeding the amount paid for services in the past 12 months

Consequential Damages Exclusion

• • Complete exclusion of liability for business interruption losses
• • No responsibility for missed opportunities or career advancement
• • Exclusion of damages from reliance on course content for business decisions
• • No liability for third-party actions or omissions
• • Limited responsibility for technical or educational delivery issues

Force Majeure Provisions

DataPipe shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including:

• • Natural disasters, earthquakes, typhoons, or severe weather
• • Government actions, regulations, or legal restrictions
• • Labor strikes, work stoppages, or supplier failures
• • Internet outages, cyber attacks, or technical infrastructure failures
• • Pandemic, epidemic, or public health emergencies

Governing Law and Jurisdiction

• • These Terms are governed by the laws of Japan without regard to conflict of laws principles
• • Tokyo District Court has exclusive jurisdiction for all disputes
• • Japanese language version of terms shall prevail in case of translation discrepancies
• • Compliance with Japanese Consumer Contract Act and related regulations
• • International students subject to Japanese law during enrollment period

Dispute Resolution Procedures

• • 30-day notice requirement before initiating formal proceedings
• • Preference for mediation through Japan Commercial Arbitration Association
• • English language proceedings available for international students
• • Cost allocation based on prevailing party determination
• • Class action and jury trial rights waiver where legally permissible

Severability and Enforceability

• • Invalid provisions shall not affect the validity of remaining terms
• • Courts may modify unenforceable provisions to make them enforceable
• • Terms survive termination where necessary for enforcement

This Agreement, together with our Privacy Policy and any course-specific terms, constitutes the entire agreement between you and DataPipe. This Agreement:

• • Includes all referenced policies as integral parts
• • Represents the complete understanding between parties
• • Excludes all extrinsic evidence of agreement terms
